These Terms and Conditions ("Terms") constitute a legally binding sales and operational contract between Yarsa Tech Pvt. Ltd. ("Yarsa Tech", "we", "us", or "our") and the customer ("you") governing all purchases, orders, and services accessed through nizistore.com ("the Site") for products sold under our brand Nizi Electronics.

By accessing this website, registering an account, or placing an order, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must discontinue use of the Site immediately.

1. Orders, Pricing, and Cancellations

  1. Right of Refusal & Order Verification: Adding items to your cart or receiving an automated invoice does not constitute a final binding sale. We reserve the sole discretion to decline, cancel, or place any order on hold prior to shipping for reasons including stock unavailability, technical errors, suspicious transactions, or unverified contact details.
  2. Pricing & Clerical Errors: We make every effort to avoid technical errors. In the event a Nizi product is mistakenly displayed with incorrect pricing, specifications, or stock status due to a system glitch or clerical error, Yarsa Tech reserves the absolute right to cancel the order and issue a full refund rather than fulfilling the purchase at the incorrect price.
  3. Taxes & Invoicing: All purchases include applicable local value-added taxes (VAT) where required by prevailing laws. Invoices are generated electronically upon order verification.

2. Payments and Billing Verification

  1. Supported Channels: We accept transactions through designated digital wallets, verified bank transfers, local debit/credit payment gateways, and Cash on Delivery (COD) for supported coverage areas.
  2. Cash on Delivery (COD) Policy: COD payments may require an additional handling fee, which will be calculated and displayed during checkout or communicated prior to dispatch. For orders dispatched via COD, you agree to inspect the outer seal, confirm the package integrity, and remit the exact invoice balance to the delivery personnel immediately upon handover. Refusal to accept verified COD shipments without valid justification may result in account suspension and blacklisting from future orders.
  3. Payment Security: Payments completed via external wallets or card processors take place on encrypted third-party interfaces. If a payment is flagged as fraudulent or unauthorized, your order will be suspended immediately pending review.

3. Shipping, Transit Risk, and Delivery

  1. Courier Fulfillment: Orders placed on nizistore.com are dispatched through domestic third-party logistics and courier companies across Nepal.
  2. Delivery Estimates & Force Majeure: Indicated delivery dates are estimates only. Yarsa Tech shall not be held liable for shipment delays caused by highway closures, adverse weather, regional transport strikes, customs holds, or logistical disruptions outside our direct control.
  3. Inspection on Arrival: You must inspect the external parcel immediately upon receipt. Do not accept parcels showing clear signs of severe tampering, ripping, or opened seals. Any unsealed, missing, or transit-damaged items must be documented with photos/videos and reported to our support team within 24 hours of delivery.

4. Returns, Replacements, and Warranty

  1. Eligibility Window: If you receive a damaged, defective, or incorrect Nizi product, you must notify us within three (3) calendar days of delivery with verifiable photo or video proof. We reserve the right to inspect and verify the claim before issuing a replacement or credit note.
  2. Hardware Warranty Coverage: Nizi-branded electronics and hardware carry specific warranty terms detailed on their respective product pages or packaged manuals.
  3. Warranty Exclusions: Warranties strictly cover internal manufacturing defects under normal operating conditions. Warranties are voided if:
  4. The product shows signs of liquid ingress, burns, power surges, or short circuits from improper electrical supplies.
  5. The product displays physical drops, cracks, tampering, or unauthorized third-party repairs/teardowns.
  6. The serial numbers, barcodes, or warranty seals have been defaced, altered, or removed.

5. Intellectual Property and Brand Protection

All software, firmware, visual designs, graphics, packaging layouts, technical documentation, logos, and trademarks associated with Nizi Electronics and Yarsa Tech remain the exclusive property of Yarsa Tech Pvt. Ltd. You are strictly prohibited from copying, reverse-engineering, modifying, republishing, or commercially exploiting our designs, technical assets, or brand collateral without explicit prior written authorization from Yarsa Tech.

6. Limitation of Liability and Indemnification

  1. Liability Cap: To the fullest extent permitted by applicable law, Yarsa Tech Pvt. Ltd., its directors, officers, and employees shall not be liable for any indirect, incidental, punitive, or consequential damages resulting from product downtime, lost business revenue, installation errors, or delivery delays. Our maximum aggregate liability for any claim arising out of an order is strictly limited to the total purchase price actually paid by you for the item in question.
  2. Indemnification: You agree to indemnify, defend, and hold harmless Yarsa Tech Pvt. Ltd. and its affiliates from any claims, damages, liabilities, or legal expenses arising from your misuse of our products, breach of these Terms, or violation of any third-party rights.

7. Governing Law and Dispute Resolution

  1. Governing Law: These Terms, all online purchase transactions, and any claims or disputes arising out of or related to nizistore.com shall be governed by, interpreted, and enforced strictly in accordance with the prevailing laws and regulations of the Government of Nepal, without regard to conflict of law principles.
  2. Mandatory Amicable Negotiation: In the event of any controversy, claim, or dispute arising between you and Yarsa Tech, both parties agree to first attempt to resolve the matter amicably through direct, good-faith negotiations submitted in writing to our support team for a period of not less than thirty (30) business days.
  3. Exclusive Legal Forum: If a dispute cannot be resolved through amicable negotiation, it shall be submitted exclusively to the competent judicial courts authorized by the Government of Nepal. You explicitly waive any objections regarding inconvenient forum or lack of personal jurisdiction.
  4. Recovery of Legal Costs: If Yarsa Tech is required to defend against or initiate legal proceedings to enforce these Terms, protect its brand/assets, or collect unpaid dues, Yarsa Tech shall be entitled to recover from you all reasonable attorney fees, court fees, and collection expenses incurred to the maximum extent permitted by law.
